Terms of Service

These Terms of Service ("Terms") govern your access to and use of the PropertyWatchdog platform and services operated by PropertyWatchdog ("we," "our," or "us") at PropWD.com. By using our services, you agree to these Terms.

1. Description of Services

PropertyWatchdog provides a cloud-based property management software platform that enables property managers and landlords to collect tenant rent payments via ACH direct debit, manage properties and units, track maintenance requests, communicate with tenants, and generate financial reports.

2. License Key & Subscription

Access to the PropertyWatchdog platform requires a valid license key associated with an active paid subscription. License keys are issued upon payment of the applicable subscription fee. Subscriptions are billed monthly and automatically renew until cancelled.

• License keys are non-transferable and for use by the subscribing organization only
• Sharing license keys with unauthorized parties is prohibited
• We reserve the right to suspend or terminate licenses for violation of these Terms
• No refunds are provided for partial months of service

3. Payment Processing

PropertyWatchdog uses Stripe, Inc. to process payments. By using our payment features, you agree to Stripe's Terms of Service. ACH payments are subject to NACHA operating rules. You are responsible for ensuring sufficient funds in accounts used for payment.

4. Acceptable Use

You agree not to:

• Use the platform for any unlawful purpose
• Attempt to gain unauthorized access to any part of the platform
• Interfere with or disrupt the platform's operation
• Use the platform to process fraudulent transactions
• Resell or sublicense access to the platform without written permission

5. Data & Privacy

Your use of our platform is also governed by our Privacy Policy at propwd.com/privacy.html. You are responsible for obtaining necessary consents from tenants and other individuals whose data you enter into the platform.

6. Intellectual Property

The PropertyWatchdog platform, including all software, designs, and content, is owned by PropertyWatchdog and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive license to use the platform. You retain ownership of all data you enter into the platform.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform maintenance that temporarily affects availability. We are not liable for any losses resulting from service interruptions.

8. Limitation of Liability

To the maximum extent permitted by law, PropertyWatchdog shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to lost profits, data loss, or business interruption.

9. Termination

Either party may terminate the subscription with 30 days written notice. We may immediately suspend or terminate access for violation of these Terms. Upon termination, you may export your data within 30 days before it is deleted.

10. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes. Continued use of the platform after changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
